Acceptance and Scope

These Terms of Use govern your access to and use of PrepTrack, an alpha-stage educational support platform operated by SYMVERGE Platforms L.L.C. ("Symverge," "we," "our," or "us").

By accessing or using PrepTrack, you agree to these Terms. If you use PrepTrack through a school, employer, advisor, or institutional program, any applicable institutional agreement or policy may also apply.

Eligibility and Access

• You must provide accurate, current information and keep your credentials confidential.
• You are responsible for activity under your account and for promptly notifying us of suspected unauthorized access.
• If you are under the age of majority where you live, you may use PrepTrack only with any consent or authorization required by your parent, guardian, school, or applicable law.
• Access may be limited to invited, licensed, pilot, institution-authorized, or otherwise approved users.

Limited Alpha License

Subject to these Terms, Symverge grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use PrepTrack solely for your own internal educational use or, if you are an educator, advisor, or institutional representative, for the school-authorized evaluation and support purposes of your role.

PrepTrack is provided for alpha-stage testing, educational support, product evaluation, and limited authorized use. Features may be incomplete, unstable, modified, suspended, or removed at any time.

Confidentiality and Pilot Access

Any non-public features, workflows, dashboards, reports, model behavior, documentation, pricing, product plans, pilot materials, and technical or business information made available through PrepTrack are Confidential Information of Symverge unless expressly stated otherwise in writing.

You may use Confidential Information only for your authorized evaluation or educational use of PrepTrack. You may not disclose it to any third party except to persons who are bound by confidentiality obligations at least as protective as these Terms and who have a legitimate need to know it for the permitted use of PrepTrack.

Restrictions

• Do not reverse engineer, decompile, disassemble, scrape, benchmark, or attempt to discover source code, models, prompts, scoring formulas, hidden features, or system logic.
• Do not copy, republish, resell, sublicense, distribute, adapt, translate, or create derivative works from the software, dashboards, flashcards, assessments, question banks, reports, or other proprietary content except as expressly authorized in writing.
• Do not circumvent authentication, rate limits, school restrictions, access controls, or security measures.
• Do not use PrepTrack or its outputs to develop, train, fine-tune, benchmark, validate, or improve a competing product or service.
• Do not share confidential access credentials, unpublished features, or non-public product information outside your authorized use.

Intellectual Property and Feedback

PrepTrack, including its software, user interfaces, AI-assisted features, workflows, dashboards, analytics, flashcards, assessments, reports, and visual design, is owned by Symverge or its licensors and remains their exclusive property. Except for the limited license expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

If you submit ideas, suggestions, comments, bug reports, pilot notes, requests, or other feedback, you irrevocably assign to Symverge all right, title, and interest in and to that feedback to the maximum extent permitted by law. If any such rights cannot legally be assigned, you grant Symverge a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, commercialize, and otherwise exploit that feedback without compensation or restriction.

Educational, Clinical, and Exam Disclaimers

• PrepTrack is an educational support tool only and does not guarantee examination, academic, clinical, licensure, employment, admission, or career outcomes.
• PrepTrack is not affiliated with, endorsed by, or sponsored by ARRT or any school, hospital, certification body, accrediting body, or licensing authority.
• PrepTrack content is original educational material and is not intended to reproduce, disclose, or substitute for actual certification or licensing examinations.
• Clinical, imaging, anatomy, and treatment-planning content is educational only and does not replace clinical judgment, institutional protocol, supervision, peer review, or licensed professional decision-making.

School and Educator Use

For schools, instructors, advisors, and pilot partners, PrepTrack supplements instruction and learner support. It does not replace curriculum control, grading authority, institutional supervision, clinical oversight, or official evaluation processes.

School dashboards, readiness indicators, learner summaries, and analytics are support tools only and are not official academic determinations, transcripts, or certification decisions.

Suspension and Termination

Symverge may suspend, restrict, or terminate access at any time, with or without notice, including for security reasons, misuse, school offboarding, pilot changes, non-payment, legal or contractual risk, or violation of these Terms.

Upon suspension or termination, your license ends immediately and you must stop using any restricted or non-public portions of the service.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Symverge and its officers, directors, employees, contractors, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your misuse of PrepTrack, your violation of these Terms, your violation of applicable law, or your infringement or misuse of any rights of another person or entity.

Warranty Disclaimer

PrepTrack is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or quiet enjoyment.

Without limiting the foregoing, Symverge does not warrant that PrepTrack will be uninterrupted, secure, error-free, available at any particular time or location, or free of harmful components, or that any defects will be corrected, or that any content, analytics, scoring, dashboards, or outputs will be complete, accurate, or reliable.

Limitation of Liability

To the fullest extent permitted by law, Symverge and its officers, directors, employees, contractors, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenues, goodwill, business opportunities, use, data, educational outcomes, examination outcomes, clinical outcomes, or professional opportunities, arising out of or relating to PrepTrack or these Terms, even if advised of the possibility of those damages.

To the fullest extent permitted by law, the total aggregate liability of Symverge arising out of or relating to PrepTrack or these Terms will not exceed the greater of (a) the amount you paid to Symverge for the applicable service in the twelve months before the event giving rise to the claim or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to PrepTrack will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Any dispute that cannot be resolved informally will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at legal@symverge.com. If the dispute is not resolved within thirty (30) days, either party may proceed with formal proceedings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Changes to These Terms

We may revise these Terms from time to time by posting an updated version with a new effective date. Continued access to or use of PrepTrack after the updated Terms become effective constitutes your acceptance of the revised Terms to the extent permitted by law.
